You (Licensee) are granted the non-exclusive and non-transferable right to access the Credo Online Reference Service. By your usage of the Credo Online Reference Service you are agreeing to abide by the following Terms of Use. Where applicable, these Terms of Use apply to individuals and institutions using the Credo Online Reference Service, and, where applicable, are subject to the License Agreement entered into by Credo and the applicable institution. Trial users may access this online service for a limited period of time for the purposes of determining its suitability for purchase. During the trial period, the trial user will be subject to the same terms and conditions as a paying subscriber. Any breach of this license will result in the immediate termination of access by Credo.

Nothing in this Terms of Use shall limit the Licensee's rights to make fair use of Credo Online Reference Service, as that term is defined by the courts.
Use of the Credo Online Reference Service is limited to Authorized Users. For purposes herein, “Authorized Users” shall mean (a) every member of staff employed by or otherwise accredited by a Licensee that previously entered into License Agreement with Credo and such License Agreement is still in effect; (b) every student accredited to an institution that is a Licensee for the purpose of full-time or part-time attendance; and (c) individual members of the public registered as users of the library or information service of any Licensee and walk-in users; in each case, who are permitted access to Credo Online Reference Service by the Licensee. In the event an Authorized User is subject to a License Agreement or there is a conflict between the License Agreement and the Terms of Use, the terms of the License Agreement shall control.
The Licensee, to the extent applicable, shall use all reasonable efforts to ensure that all Authorized Users are appropriately notified of the importance of respecting the intellectual property rights relating to Credo Online Reference Service. Each Authorized User is responsible for maintaining the secrecy and confidentiality of its user name and password and for all usage of the Credo Online Reference Service thereunder.
The Licensee shall use all reasonable efforts to notify Authorized Users of the terms and conditions of this Terms of Use, and, to the extent applicable, the License Agreement, and to protect Credo Reference from any use that is not permitted under the Terms of Use and License Agreement (if applicable), and shall notify Credo of any such use of which the Licensee becomes aware. In the event of any unauthorized use of Credo Online Reference Service, Credo shall have the right to immediately suspend the Licensee’s access to Credo Online Reference Service and work with Licensee to resolve the situation expeditiously. Any failure to fulfill the Licensee’s obligations under this Section shall be considered a material breach of these Terms of Use.
The Licensee acknowledges that all copyrights, patent rights, trademarks, services marks, trade secrets, and other intellectual property rights relating to Credo (collectively the “Credo Intellectual Property”) and within the Credo Online Reference Service, are the sole and exclusive property of Credo and the third-party publishers who have licensed their works to Credo, and that this does not convey to the Licensee any right, title, or interest therein except for the right to use Credo Online Reference Service in accordance with these Terms of Use.
AUTHORIZED USERS ACKNOWLEDGE THAT CREDO IS NOT THE CREATOR OF ANY CONTENT, BUT MERELY A THIRD-PARTY AGGREGATOR. IT DOES NOT WARRANT THE ACCURACY OF ANY SUCH INFORMATION NOR ANY INFORMATION FROM ANY OTHER THIRD-PARTY INTERNET RESOURCES. THIS SERVICE IS BEING PROVIDED "AS IS" WITHOUT ANY WARRANTY OR IMPLIED TERM OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR IMPLIED TERMS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Credo will not share email addresses with anyone outside Credo or disclose user information to any third party, except as described herein. Credo may use the personal data the Licensee provide online to send the Licensee information about offers that we feel may be of interest to the Licensee. Credo requires contractual obligations with content providers with which it exchanges information as necessary to conduct its business. These exchanges of information ensure safeguards for the privacy of the information we may use. This is the same standard used for information supplied through other means. Only Credo will send the Licensee these direct mailings. In addition, Credo may provide aggregated, anonymous statistical data about use of the Credo Online Reference Service to other persons.
These Terms of Use are subject to, and shall be construed in accordance with, the laws of the Commonwealth of Massachusetts. The parties agree to the exclusive jurisdiction and venue of the courts located in Suffolk County, Massachusetts. These Terms of Use will not be governed by the United Nations Convention on Contracts for the Sale of Goods. Credo may change these Terms of Use from time to time. Any material modifications will be posted on the Credo website. A material modification will be effective with respect to an Authorized User within thirty (30) days of notice of such modification if the Authorized User has not objected to such modified Terms of Use within such time period. Any non-material modifications shall be effective when made.
